El 2 de julio de 2014, la Comisión adoptó una Decisión en un asunto de concentración con arreglo al Reglamento (CE) no 139/2004 del Consejo, de 20 de enero de 2004, sobre el control de las concentraciones entre empresas (1) , y, en particular, el artículo 8, apartado 2, de dicho Reglamento. (1) Telefónica Deutschland Holding AG («Telefónica» o la «parte notificante») y E-Plus & Mobilfunk GmbH Co. KG («E-Plus» y, junto con Telefónica, «las Partes») son dos de los cuatro operadores de redes móviles («ORM») presentes en el mercado minorista de servicios de telecomunicaciones móviles y en el mercado mayorista de acceso y originación de llamadas de Alemania. La operación daría lugar a una estructura de mercado con tres ORM (Deutsche Telekom, Vodafone y la entidad fusionada) con cuotas de mercado similares en términos de ingresos. Además de estos operadores de redes móviles, hay algunos operadores de redes virtuales móviles («ORVM») y varios proveedores de servicio que operan en el mercado minorista.
(2) El 31 de octubre de 2013, la Comisión recibió una notificación formal, de conformidad con el artículo 4 del Reglamento de concentraciones, según la cual Telefónica adquiere de Koninklijke KPN N.V. («KPN») el control exclusivo de E-Plus, a tenor de lo dispuesto en el artículo 3, apartado 1, letra b), del mismo Reglamento.
(3) Alemania solicitó a través del Bundeskartellamt (autoridad de competencia alemana) y con arreglo al artículo 9, apartado 2, letra a), del Reglamento de concentraciones, la remisión de la operación propuesta de la Comisión a Alemania. La Comisión adoptó una Decisión desestimando la solicitud de remisión.
(4) Telefónica y E-Plus son dos de los cuatro operadores de redes de telefonía móvil («ORM») presentes en el mercado minorista de servicios de telecomunicaciones móviles y en el mercado mayorista de acceso y originación de llamadas en Alemania. La operación daría lugar a una estructura de mercado con tres ORM (Deutsche Telekom, Vodafone y la entidad fusionada) con cuotas de mercado similares en términos de ingresos. Además de estos operadores de redes móviles, hay algunos operadores de redes virtuales móviles («ORVM») y varios proveedores de servicio que operan en el mercado minorista.
(5) Aunque la concentración propuesta no crearía ni reforzaría una (única) posición dominante de la entidad fusionada, la Decisión constata que, a pesar de ello, la concentración obstaculizaría significativamente la competencia efectiva en el mercado minorista de telecomunicaciones móviles y, potencialmente, en el mercado mayorista de acceso a la red y originación de llamadas en Alemania.
(6) Para responder a estas preocupaciones, Telefónica presentó unos compromisos consistentes, en su versión final, en tres elementos: a) En primer lugar, Telefónica se compromete a suscribir acuerdos mayoristas basados en la capacidad con una o varias (hasta tres) ORVM de acceso indirecto móvil previo («Upfront MBA MVNO») en Alemania antes de concluir la concentración. Estos acuerdos prevén que dichos ORVM puedan adquirir, contra un pago previo, hasta el 30 % de la capacidad total de la red de la empresa resultante de la concentración durante un período de hasta diez años a partir de la finalización de la operación propuesta. Esta capacidad corresponde a una cuota de mercado de hasta un 11 %, mientras que la cuota de mercado de Telefónica se sitúa actualmente en torno al 15 %.
b) En segundo lugar, Telefónica se compromete a ampliar los actuales acuerdos mayoristas con los socios mayoristas de Telefónica y E-Plus y a ofrecer servicios 4G al mercado mayorista en el futuro. Además, Telefónica se compromete a permitir a sus socios mayoristas que sus clientes alojados en las redes de Telefónica y/o E-Plus pasen de un modelo comercial a otro sin penalización. Por otra parte, Telefónica se compromete a eliminar las cláusulas contractuales en los acuerdos con socios mayoristas de Telefónica o E-Plus, que podrían impedir que los ORVM/proveedores de servicio pasaran sus clientes de un ORM a otro.
c) En tercer lugar, Telefónica se compromete a ofrecer un acuerdo que se celebraría con un nuevo ORM entrante o posteriormente con el OVRM previo. Según Telefónica, esta solución debería facilitar la entrada de un cuarto ORM nuevo en el mercado alemán. Para ello, Telefónica se...
