Conforme surgía de la propia exposición de motivos del proyecto de directiva, el término "empleados" debía asimilarse al de "trabajadores" referido en el título II de la segunda parte del Tratado CEE que comprendía a toda persona vinculada a otra por medio de un contrato de servicio de cualquier tipo.
Como ya se adelantara, el proyecto de 1989 ofrecía tres modelos de participación de los trabajadores en la gestión de las S.E. Quedaba en claro que la participación de los empleados no debía inmiscuirse ni entorpecer la gestión diaria de la empresa -cuestión reservada al órgano de administración- pero sí tener funciones de supervisión, control y participación en la definición de las estrategias comerciales.
Las S.E. debían adoptar uno de los tres modelos de cogestión mediante acuerdo celebrado entre los órganos de administración y los representantes de los trabajadores. Si no se llegase a un acuerdo de esta manera, la decisión sobre cuál modelo adoptar quedaba en manos de los órganos de gestión y administración.
Quedaba expresamente prohibido constituir una S.E. sin la adopción de uno de los tres modelos de cogestión propuestos. Pero cada Estado miembro podía determinar en qué manera se aplicarían los modelos propuestos, pudiendo restringir la elección e imponiendo la adopción de uno de los tres modelos.
¿Cuáles fueron los tres modelos propuestos?

Participación de los empleados en el órgano de vigilancia: designación de trabajadores en el órgano de vigilancia y control o en el órgano de administración, según la S.E. adoptara un sistema monista o dualista. La participación de los trabajadores no podía ser inferior a un tercio ni mayor a la mitad. Estos miembros Page 94eran cooptados por el órgano en cuestión, sin perjuicio de que la asamblea de accionistas o los representantes de los trabajadores podían, en casos específicos, objetar la designación de un candidato en particular. En este caso la designación no debía efectuarse hasta tanto un cuerpo independiente con funciones jurisdiccionales zanjara la cuestión.

Organo específico que represente los intereses de los empleados: crear un órgano específico y distinto a los órganos de gobierno que representare a los empleados de la S.E. Este cuerpo debería constituirse con la conformidad de los representantes de los empleados de las sociedades fundadoras; y tendría las siguientes facultades: a) ser informado, por lo menos una vez cada tres meses, del progreso de los negocios sociales...
