A raíz de los problemas y críticas que afectaron y detuvieron el avance del proyecto modificado en 1975, en el año 1989 se presentó un nuevo proyecto diseñado para superar aquellos inconvenientes y que marcó la impronta del estatuto finalmente aprobado en el año 2001.
El proyecto de 1989 constaba de dos partes que se complementaban entre sí: por un lado, el reglamento que fijaba el régimen y estatuto de la Societas Europæa, basado en el artículo 100- a del Tratado CE y, por otra parte, una directiva destinada a regular la intervención y participación de los trabajadores en la gestión y dirección de la S.E.
Este proyecto trató de simplificar el marco regulatorio de la S.E., reformulando su régimen en menos artículos que los proyectos anteriores y apoyándose en las soluciones brindadas por las directivas emanadas del Consejo en relación al funcionamiento de las sociedades comerciales162 .
Las S.E., bajo este proyecto, continuaban siendo sociedades constituidas en un Estado miembro y sometidas a sus normas, a excepción de las materias contempladas -expresa o implícitamentepor el reglamento y su estatuto. Eran sociedades nacionales que adoptaban un estatuto tipo, único en todo el ámbito comunitario.
La S.E. debía constituirse de acuerdo a la legislación del Estado miembro donde tuviera el domicilio social, habiéndose con-siderado innecesario establecer un registro europeo, como así también conferir facultades a la Corte de Justicia de la Comunidad Europea para resolver cuestiones vinculadas a la formación, constitución y registro de la SE.163 . Las sucursales constituidas en un Estado distinto a la sede social debían ser inscriptas en los registros de los lugares de su constitución164 .
El domicilio social debía estar consignado en los estatutos y estar situado en el territorio de cualquier Estado miembro, coincidiendo con el asiento de la administración central de la S.E., adoptándose, de tal manera, la teoría del siège réel.
El estatuto preveía cuatro formas de constitución de una S.E.: por fusión, por creación de una sociedad holding, por creación de una filial común o por la transformación de una sociedad anónima de derecho nacional en una S.E. La fusión y la constitución de una sociedad holding estaban reservadas a las sociedades anónimas que tuvieran su domicilio social y administración central dentro de la Comunidad, cuando por lo menos, dos de las sociedades fundadoras tuvieran su administración central en diferentes Estados miembros165...
