Origen y evolución de la sociedad anónima europea. Desarrollo del estatuto de la Societas Europæa1 .
Si bien Europa tiene una historia compartida, tal vez su destino común no provenga de su pasado de guerras y divisiones, sino que, como ha dicho MORIN: "surge apenas de nuestro presente porque nuestro futuro nos la impone". Luego de la segunda guerra mundial, Europa decide reconstruirse, superando rencores recíprocos y viejas antinomias. Diseña, entonces, un espacio común y un futuro compartido. Se reformula una noción de Europa concibiéndosela como una complejidad múltiple y plena. Se inventa una noción única de lo diverso y distinto, un intento de pensar "lo uno en lo múltiple, lo múltiple en uno". Europa es un complejo (complexus: aquello que se teje conjuntamente), siendo lo propio de ello reunir, sin confundirlas, sus mayores diversidades y asociar sus contrarios de manera inseparable (de nuevo citando a MORIN)2 .
La idea de crear una sociedad comercial europea viene a encolumnarse en esta dirección. Se pretende dotar a las empresas de los Estados miembros de un estatuto tipo y único a lo largo de la comunidad europea, pero que respete no sólo las legislaciones nacionales, sino los usos y costumbres del empresariado europeo. El proyecto de la Societas Europæa consta de dos partes: una, el estatuto propiamente dicho, impuesto a los Estados miem-Page 18bros mediante un reglamento comunitario, que regula lo esencial de la nueva sociedad europea, dejando otras cuestiones bajo la competencia y aplicación de los ordenamientos nacionales. La segunda parte es la que concierne a la participación de los trabajadores en la sociedad a crearse. Esta última, plasmada en una directiva comunitaria, contiene soluciones amplias y flexibles, que permiten a cada Estado miembro adoptar la solución más conveniente a sus normas, costumbres e idiosincrasia en lo que se refiere a las relaciones laborales, de manera de permitir la diversidad de criterios y la mejor adaptación de la sociedad comercial europea al derecho societario interno. Volvemos al concepto de la unidad de lo plural y distinto, que permite arribar a soluciones comunes mediante el respeto de la diversidad de las distintas realidades nacionales.
La propuesta de crear una sociedad comercial con un estatuto único aplicable en toda la Unión Europea, es anterior inclusive a la creación de la propia Comunidad. Se originó en círculos académicos3 para, luego, plasmarse en proyectos oficiales, como los del Consejo de Europa y, posteriormente, en los emanados de la Comunidad Europea.
