El proyecto presentado por la Comisión al Consejo en el año 1970 se basó, mayormente, en el denominado proyecto Sanders, aunque se lo completó en lo relativo a la contabilidad de la S.E. y a los aspectos tributario y penal85 . Los cambios más importantes respecto al proyecto Sanders fueron que el nuevo proyecto propuso su adopción a través de un reglamento comunitario, en lugar de una convención internacional; restringió el acceso a la S.E. y reguló una solución uniforme en tema de participación de los trabajadores en la gestión de la S.E. Se basó en el derecho societario alemán y con sus 284 artículos fue considerado excesivamente reglamentarista.
Según este proyecto, la S.E. gozaba de personalidad jurídica "a partir del día de la publicación de su inscripción en el Diario Oficial de la Comunidad Europea". Cualquier acto realizado antes del momento de la publicación mencionada sería imputado, directamente y en forma personal, a la persona que lo realizare86 .
Derecho aplicable. En cuanto al derecho aplicable a la S.E., el artículo 7 del proyecto de 1970 marcó una distinción según la materia en litigio estuviera o no regulada por el estatuto. Si una cuestión de derecho estaba regida por el estatuto, aunque sea en forma implícita, quedaba excluida la aplicación del derecho de los Estados miembros, debiendo resolverse la cuestión apelando a lo expresamente dispuesto por el estatuto o, en su defecto, a los principios generales en que se inspiraba el mismo. Si aun así no se Page 44pudiera arribar a solución alguna, se debería aplicar las "reglas o principios generales comunes a los respectivos derechos de los Estados miembros". De esta manera se imponía al Juez el abordaje de la cuestión litigiosa desde una perspectiva comparativa, debiendo precisar, a los efectos de determinar la ley aplicable, aquellos principios o reglas comunes que se repetían en todos los Estados miembros. De todas maneras, en este último supuesto, se debía apelar al derecho internacional privado para determinar, en cada caso concreto, cuál sería el derecho nacional a aplicar.
Constitución. El proyecto de 1970, en su artículo 2, imponía, como requisito para constituir una S.E., que al menos dos de las sociedades fundadoras dependieran de legislaciones nacionales diferentes o, por lo menos una de ellas, se tratase de una S.E. debidamente constituida. De esta manera, la S.E. se configuraba como una sociedad de "segundo grado", imponiéndose, además, una internacionalidad de origen al exigir su constitución por medio de sociedades de distinta nacionalidad.
