(1) El 31 de enero de 2019, la Comisión Europea recibió la notificación de una propuesta de concentración («la concentración»), con arreglo al artículo 4 del Reglamento de concentraciones, por la que E.ON SE («E.ON», Alemania) adquirirá, a tenor de lo dispuesto en el artículo 3, apartado 1, letra b), del Reglamento de concentraciones, el control exclusivo de las actividades de distribución y soluciones de consumo, así como determinados activos de generación de electricidad, de Innogy SE («Innogy», Alemania) (2).
(2) E.ON es una empresa de energía presente a lo largo de toda la cadena de suministro, con actividades como la generación, el suministro al por mayor, el transporte, la distribución y el suministro al por menor, así como otras actividades relacionadas con la energía (medición, electromovilidad, etc.). E.ON opera en varios Estados miembros, como Alemania, Chequia, Dinamarca, Eslovaquia, Hungría, Italia, Polonia, el Reino Unido, Rumanía y Suecia.
(3) Innogy, una filial propiedad al cien por cien de RWE, es una empresa de energía presente a lo largo de toda la cadena de suministro, con actividades como la distribución o el suministro al por menor, así como otras actividades relacionadas con la energía (medición, electromovilidad, etc.). Innogy opera en varios Estados miembros, como Alemania, Bélgica, Croacia, Chequia, Eslovaquia, Eslovenia, España, Francia, Hungría, Italia, los Países Bajos, Polonia, Portugal, el Reino Unido y Rumanía.
(4) En lo sucesivo, E.ON se denominará la «parte notificante», y, considerada conjuntamente con Innogy, «las partes».
(5) La concentración, que consiste en la adquisición del control exclusivo de Innogy por parte de E.ON, se realiza mediante la adquisición de acciones. La concentración forma parte de una gran permuta de activos entre E.ON y RWE a raíz de la cual E.ON pasará a ocuparse principalmente de la explotación de redes de distribución de electricidad y gas, así como del suministro al por menor en varios países europeos. RWE se centrará en las actividades de generación y al por mayor.
(6) E.ON adquiriría las actividades relacionadas con la explotación de la red de distribución de energía y las soluciones de consumo de la filial de RWE, Innogy, así como determinados activos menores de generación de electricidad, principalmente centrales de cogeneración en titularidad de Innogy («los activos de disociación inversa»). RWE adquiriría la mayor parte de las actividades de E.ON relativas a la generación de electricidad a partir de fuentes de energía renovables y participaciones minoritarias en dos centrales nucleares ya explotadas por RWE. Además, RWE conservaría: a) los activos de generación de energía renovable de Innogy (a excepción de los activos de disociación inversa), b) la participación del 49 % de Innogy en Kärntner Energieholding Beteiligungs GmbH, y c) once instalaciones de almacenamiento de gas explotadas por Innogy en Alemania y en Chequia (en conjunto, todos estos activos conforman los activos de retransferencia). RWE adquiriría igualmente una participación minoritaria meramente financiera en E.ON. La adquisición de los activos de E.ON por parte de RWE se autorizó mediante la Decisión de la Comisión, de 26 de febrero de 2019, en el asunto COMP/M.8871, RWE/E.ON Transfer Assets [disponible en inglés].
(7) Las dos partes de la permuta de activos dan lugar a dos concentraciones distintas. La presente Decisión se refiere a la concentración que resultaría de la adquisición del control de Innogy por parte de E.ON.
(8) El volumen de negocios total a escala mundial del conjunto de las empresas consideradas supera los 5 000 millones EUR. Cada una de las empresas realiza un volumen de negocios total a escala de la UE superior a 250 millones EUR; sin embargo, no se realizan en un mismo Estado miembro más de dos tercios del volumen de negocios total en la UE. Por consiguiente, la operación notificada tiene una dimensión de la UE.
(9) La Comisión planteó serias dudas sobre la compatibilidad de la concentración con el mercado interior y, el 7 de marzo de 2019, adoptó una Decisión con el fin de incoar un procedimiento con arreglo al artículo 6, apartado 1, letra c), del Reglamento de concentraciones.
